We refer to the Company’s announcements dated 16 August 2023 and 17 August 2023 in relation to the Proposed Bonus Issue (“Earlier Announcements”). Unless otherwise stated, all defined terms in this announcement shall carry the same meanings as defined in the Earlier Announcements.

On behalf of the Board of PWF, AmInvestment Bank is pleased to announce that Bursa Securities had, vide its letter dated 28 August 2023, approved the listing and quotation of up to 74,458,606 new ordinary shares to be issued pursuant to the Proposed Bonus Issue.

The approval granted by Bursa Securities is subject to the following:-

(i) PWF and AmInvestment Bank must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Bonus Issue;

(ii) PWF is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders at the extraordinary general meeting approving the Proposed Bonus Issue;

(iii) PWF and AmInvestment Bank are required to inform Bursa Securities upon the completion of the Proposed Bonus Issue;

(iv) PWF is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed; and

(v) PWF and AmInvestment Bank are required to make the relevant announcements in accordance with Paragraphs 6.35(2)(a)&(b) and 6.35(4) of the Listing Requirements.
