Reference is made to KIP REIT’s announcements on 16 June 2023 and 27 July 2023 in relation to the Proposed Private Placement (“Announcements”). Unless otherwise stated, defined terms in this announcement shall carry the same meanings as defined in the Announcements.
On behalf of the Board, M&A Securities is pleased to announce that Bursa Securities had, vide its letter dated 21 August 2023, resolved to approve the listing and quotation for up to 12,269,900 new Placement Units to be issued pursuant to the Proposed Private Placement on the Main Market of Bursa Securities subject to the following:
- KIP REIT and M&A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Private Placement;
- M&A Securities to inform Bursa Securities upon the completion of the Proposed Private Placement;
- KIP REIT/M&A Securities to furnish Bursa Securities with a certified true copy of the resolution passed by the unitholders approving the Proposed Acquisition and Proposed Private Placement;
- KIP REIT and M&A Securities to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Private Placement is completed; and
- Payment of additional listing fee based on the market value of the Placement Units to be listed, if applicable. In this respect, the Company is required to furnish Bursa Securities a cheque drawn to the order of Bursa Securities for the outstanding listing fee together with a copy of the details of the computation of the amount of fees payable.
