The Board of Directors (“Board”) of NETX Holdings Berhad (“NETX” or the “Company”) wishes to inform that GEM Excite Sdn. Bhd. (“GEM Excite”), an indirect wholly-owned subsidiary of the Company, had on 22 June 2023 entered into a Collaboration Agreement with Meimaii Technology Co. Ltd (“MEIMAII”) to explore the collaboration with each other for the localisation and any required integration of MEIMAII online platform in Malaysia and any other countries mutually by the parties (“Collaboration Agreement”).

MEIMAII is a company incorporated under the laws of Taiwan which is primarily involved in the business of Influencer Social E-Commerce Platform in Taiwan. MEIMAII provide a comprehensive one-stop service that offers an all-around Automated Artificial Intelligence Sales & Marketing Solution to the Social Media Community. More than 3,000 influencers have worked with MEIMAII and more than 25,000 sales campaigns were held since its inception back in 2018. MEIMAII has now gathered over 410,000 members in the platform.

The Collaboration Agreement shall commence from 22 June 2023 and is effective for a period of one (1) year from 22 June 2023 and may be renewed for a further period upon notice in writing by GEM Excite or terminated by GEM Excite pursuant to the terms and conditions of the Collaboration Agreement.

The Collaboration Agreement will not have any effect on the share capital and substantial shareholders’ shareholdings of NETX. The Collaboration Agreement is also not expected to have any material immediate effect on the earnings per share, net assets per share and gearing of the Group for the financial year ending 30 November 2023.

None of the directors, major shareholders and chief executives of the Company and/or persons connected with them have any interest, whether direct or indirect, in the Collaboration Agreement.

The Collaboration Agreement being incurred in the ordinary course of business, is not subject to the approval of the shareholders.

The Board of Directors of NETX, having taken into consideration all aspects of the Collaboration Agreement, is of the opinion that the Collaboration Agreement is in the best interest of the Group.

The Collaboration Agreement is available for inspection at the registered office of the Company at 22-09, Menara 1MK, No. 1 Jalan Kiara, Mont Kiara, 50480 Kuala Lumpur between 8.30 a.m. and 5.30 p.m. from Monday to Friday (except public holidays) for a period of 3 months from the date of this announcement.
